Rental period(s):

5 years + subsequent renewal periods of 5 years each time.

Service charge:

The following supplies and services are included in the service costs: Energy: For the general installations and common areas: – electricity consumption, including fixed charges; – water consumption including standing charge. For spaces used exclusively by the tenant (determined by means of an intermediate meter or converted as the percentage of the rented meters on the total meters of the building): – electricity consumption including standing charge; – district heating. Maintenance (service contracts): Maintenance and/or periodic inspection of the following installations/facilities: – window cleaning; – general cleaning; – waste disposal; – passenger lift; – central heating and air treatment; – automatic doors. Activities that do not fall under a service contract (on a cost-plus basis) but are budgeted for: – activities for the following technical installations: passenger lift, central heating & air treatment, automatic doors, access doors, barrier installation, facade maintenance installation and intercom; – facade cleaning; – general cleaning; – general maintenance; – general lighting; – reception services during office hours (will be provided during the term of the contract); – fire protection; – alarm and security; – telephone costs of the reception and the elevator; – site maintenance; – maintenance toilets. Administration costs ad. 5% on the above-mentioned deliveries and services. Settlement of the service costs takes place on the basis of annual subsequent calculation.

Payment method:

Payment by the tenant to the landlord is made quarterly in advance. The tenant’s payment obligation to the landlord must be fulfilled before or at the latest on the first day of each payment period.

Rent indexation:

The rent is indexed annually on the basis of the change in the price index figure according to the consumer price index (CPI) series CPI-All Households (2000=100), published by Statistics Netherlands (CBS).

State of delivery:

The office space will be delivered in good condition. The common areas of the office building will be stylishly renovated. At the time of actual delivery, the state of delivery will be described in more detail in an official report of delivery to be signed by the lessee and the lessor, which will indicate which installations and other facilities do, and which installations and other facilities do not, belong to the rented property and in which also a description of the condition of the rented property is given, possibly supplemented with photos initialed by the parties.

Security:

Before or at the latest on the rental commencement date, the tenant must have provided a bank guarantee (in accordance with the ROZ model) amounting to at least 3 months’ rent, service costs and the turnover tax due on this.

Sales tax:

The tenant owes turnover tax on the rent as well as the service costs. If the tenant does not meet the criteria for taxable rental, the rent will be increased to compensate for the consequences of the lapse of the option to opt for VAT-taxed rent.

Rental agreement:

The basis is the ROZ agreement, office and other business space within the meaning of art. 7:230a Dutch Civil Code, version July 2003, with accompanying general provisions.
