De rendementsdoelstelling

Underpromise.
Overdeliver.

The objective: a minimum net total return of 7% per annum over the term of the fund. The ambition: substantially more.

The return is derived from periodic distributions and the proceeds from the sale of the real estate.

Higher returns. That’s what we aim for.

Our additional compensation also depends on this. We receive 20% of the total return exceeding a preferred annual simple return of 7%. This applies exclusively at the final settlement of the entire fund.

How does the performance fee work?

Deelnemen vanuit een B.V.

Also well-considered
from a tax perspective.

Participation exemption.
Also applies to holdings of less than 5%.

The cooperative structure can make participation by a Dutch private limited company (B.V.) or holding company fiscally attractive, even when the stake held is less than 5%.

Under certain conditions, profit distributions and capital gains are excluded from the taxable profit of the participating B.V.

Seizing opportunities begins with a deep understanding of the situation. By leveraging our knowledge of the market, the property, and the end-user, we identify risks and make targeted adjustments.

  • No bank financing. No bank interest, repayment obligations, or refinancing requirements.
  • Expertise at the table. We integrate insights from leasing, valuation, and acquisitions & disposals when evaluating investments.
  • Hands-on management. Through active leasing and property management, we drive rental income and capital appreciation.

Good to know.

How does performance-based pay work?

First, the investors’ initial contributions and any accrued preferred return are taken into account. The manager receives 20% of the collective positive surplus—but only at the time of the final settlement. Other fund fees and costs continue to apply.

The preferred return is 7% simple interest per annum, calculated on the capital actually contributed and not yet repaid. This serves as a calculation threshold; it is neither a guarantee nor an IRR of 7%. An individual participant may fall below this threshold, even if a performance fee is triggered at the collective level. Only participants with a personal surplus contribute to this fee. Any non-recoverable VAT is deducted before the 20% fee is calculated on the collective surplus. The full calculation method and the basis for personal allocation are detailed in section 5.4 of the prospectus.

From what amount can I participate?

The minimum participation amount is €250,000, which includes a 0.50% issuance fee. Upon joining, a minimum of €100,000 must be paid in as capital. The remaining commitment will be called up via capital calls within twelve months of joining.

For a subscription amount of €250,000, the issuance fee is €1,250. The capital commitment is therefore €248,750. Following an initial capital contribution of €100,000, the remaining committed capital—plus the issuance fee—amounts to €148,750. In total, this remains within the €250,000 limit.

Is 7% the annual payout?

No. The target of at least 7% per annum refers to the net total return over the term of the fund. This comprises periodic distributions and the proceeds from the sale of the real estate. It is not a guaranteed return. A repayment of capital does not constitute a return.

The current indicative operating budget suggests that, for an amount invested at the time of the first closing, there will be an average of approximately 4.5–5% in regular annual distributions, calculated over the term of the fund. These distributions are part of the total return; they are not in addition to it. This figure does not include the final distribution. The budget is not a commitment: distributions may be lower or may not occur at all.

How long is my capital tied up?

The standard term of the fund is seven years from the initial closing. The manager may extend this term once, by a maximum of one year. A second extension of up to one year requires a resolution from the general meeting. The final winding-up process may take longer.

Interests in the fund may only be transferred with the consent of the manager. The fund does not provide for any individual right of redemption or repayment. Participation requires capital that can be committed for the entire duration of this period.

What does the AFM registration regime mean for BRiQ Fund Management?

BRiQ Fund Management is the manager of VestiQ Fund I. The fund documentation describes the AIFMD registration regime under Article 2:66a of the Dutch Financial Supervision Act (Wft). This regime differs from an AIFMD license and does not entail ongoing prudential or conduct supervision, as is the case for licensed managers.

Registration does not constitute approval of the fund, the prospectus, or this investment. The final registration status can be verified in the official AFM register prior to the public launch.

Can I participate through my private limited company (B.V.)?

The fund is open to both individuals and legal entities. For participation through a standard Dutch private limited company (B.V.), the participation exemption may apply within the described cooperative structure—even without the 5% minimum ownership threshold typically required for equity holdings.

The tax treatment varies depending on the specific situation and is subject to certain conditions. Losses on the participation are generally not tax-deductible. Any subsequent distribution from the B.V. to an individual is taxed separately. Please consult your own tax advisor to assess the implications.

What does investing without bank financing mean?

The fund and the real estate companies it controls do not use bank financing or any other form of financial leverage. Consequently, there are no obligations regarding interest payments, debt repayment, or refinancing to external lenders in relation to these investments.

This does not mean the investment is risk-free. The value of the real estate and the rental income may decline. Furthermore, operational execution, costs, and the eventual sale of the assets all influence the investment outcome.

Do I become an investor once I have requested documentation?

No. The request for documentation is intended to allow you to get to know the fund. Participation only occurs following a separate subscription process, the completion of required checks, the signing of a members’ agreement, acceptance by the fund, receipt of the initial capital contribution, and formal admission at a closing.

The prospectus and—for non-professional investors—the Key Information Document (KID) will be provided before you become bound by any offer or agreement.
